Experience

Robert (Bob) Herman has over 30 years of experience in business law, real estate and real estate finance law, and estate planning. His experience in business law includes formations of business entities, asset and stock purchase agreements, buy/sell agreements, and advising clients regarding general business matters, including non-compete agreements and non-disclosure agreements. His experience in real estate law includes acquisitions and dispositions of real estate, leasing and development. His real estate finance experience includes representing lenders and borrowers in all phases of commercial loan transactions ranging in size from $1,000,000 to $100,000,000. Bob has closed over 1,000 commercial loans, including construction loans, on properties such as apartment buildings, office buildings, hotels, storage facilities, and triple net lease projects, where he assists his clients with documenting and negotiating loan documents, reviewing and disposing of title and survey issues, and generally making sure the loan closes on time, while keeping legal fees cost effective. Bob also has significant experience in loan modifications, workouts and restructurings. Bob’s estate planning experience includes the creation of Wills and trusts and other estate planning tools used to meet his clients’ objective of providing for themselves and loved ones in the most comfortable manner possible, while minimizing or eliminating the expense of probate and estate taxes. His background provides special knowledge of the issues involved in planning for the transfer or sale of a business.
